BYE-LAW FOR ADMISSION

MEMBERSHIP

2.1 The Membership of the Chamber is open to all people in the State of Tamil Nadu who are engaged in any business activity including trade, industry, service business and agriculture-related activities.

2.2 Individuals, Sole-Proprietorships, Partnerships, Companies and Societies are eligible to be admitted as Members of this Chamber.

TYPES OF MEMBERSHIP

2.3 The Chamber have the following types of members :

1. General Member

2. Corporate Member

3. Association Member

4. Honorary Member

5. Entrant Member

2.4 General Member: This is the common type of membership of the Association. A member admitted under this category shall NOT be eligible for a period of 24 months from admission :

(a) To be elected to the Governing Council
(b) To be elected as an Office Bearer
(c) To propose or second any person for election as Governing Council Member, and
(d) To vote on any election, or in the voting on any resolution in Annual General Meeting.

Apart from the above, the Member shall be eligible to enjoy all other rights and privileges of membership.

2.5 Corporate Member: Any business entity, with a turnover of Rs.10 Cr per annum, or such amount as may be fixed by the General Body, on payment of specified fees, may be admitted as a Corporate Member.

2.6 Association Member: A society or a company, whose members are engaged in business, formed for the promotion of the collective business interests of its members and carrying on its activities on a ‘not-for-profit’ basis is eligible to be admitted to this type of membership.

To be eligible for admission, the applicant society/company should have been in existence for at least 3 years. An Association Member can continue to be a member of the society for a period of 2 years even if its membership falls below 25.

2.7 Honorary Member: An individual who has made a significant contribution to the economic welfare of India is eligible to be conferred the Honorary membership of the Society. An Honorary Member is NOT required to pay any fees or subscriptions. He is NOT eligible to hold any office, nor be eligible to be elected to the Governing Council.

2.7 (a) Entrant Member: Any person, whether Body, Corporate or not, shall be admitted as Entrant Member of the Society on payment of specified fees as determined by the General Body of the Society from time to time and such Members are NOT eligible to hold any office nor be eligible to be elected to the Governing Council. Such Members shall not have right to attend the General Meetings of the Chamber except to the extent as Society on the date of their membership application prescribed in this regard on fulfilling the criteria, if any, prescribed by the Governing Council and the Governing Council shall have powers to ratify such admission in their subsequent meetings.

The Entrant Members can continue to be in that status, if not admitted to any other category, for a maximum period of two years.

ADMISSION OF MEMBERS

2.8 (a) All Applicants for membership should have registration(s) with the appropriate Statutory and/or Tax Authorities. The Governing Council may lay down further qualifications in addition to what is stipulated in these Bye-Laws for admission to the various classes of Membership. The qualification for membership stipulated herein shall apply only to new admissions.

(b) The Governing Council shall prescribe the application form for membership, and the documents to be furnished along with the application; and also the procedure of submitting, its scrutiny and its recommendation or refection.

(c) For the purpose of inviting, scrutinizing and recommending applications for membership, the Governing Council may constitute a Committee called ‘Membership Committee’ consisting of its members.

(d) The Governing Council or the Membership Committee may require the personal appearance of the applicant.

(e) The names of the persons proposed for admission to membership shall be placed before the meeting of the Governing Council for its decision. The applications for membership rejected by the Membership Committee should be reviewed by Office Bearers, who may issue suitable instructions to the Membership on such review.

(f) The Governing Council may accept or reject the recommendations of the Membership Committee. The decision of the Governing Council shall be final in the matter of admission of members.

2.9 Person whose application for membership has been rejected is ineligible for consideration for membership for one year from the date of such rejection.

CATEGORY OF MEMBERSHIP

2.10 The Members other than Association Members, Honorary Members and Entrant Members shall be categorized as :

(1) Trade Category Members
(2) Industry Category Members
(3) Service Business / Agriculture Category Members

The categorization shall be done on the basis of the activity from which the revenues are derived by the members. The Members shall indicate the Category in which they should be placed.

A Member having multiple activities should opt for a category, on the basis of the activity which gives component of his revenues.

In the absence of any communication from a Member regarding his category, the Chamber may place him to any of the above three categories based on the information the application has in it.

AUTHORISED REPRESENTATIVE

2.11 Every Member other than a Corporate member shall nominate one person as his Authorised Representative to exercise the rights and privileges of the membership. A Corporate Member may nominate two persons as his Authorised Representatives. The Authorised Representative should be a real person. The name and other particulars of the Authorised Representative should be registered with the Chamber in the form prescribed by it. The Authorized Representative may be changed by the member. However, if the Authorised Representative is elected/appointed as an Office Bearer of the Chamber, he cannot be changed during his tenure of the office.

The Authorised Representative should be the individual himself if the membership is an Individual. In case of Sole-Proprietorship, the Sole-Proprietor should be the Authorised Representative. In case of a Partnership firm, the Authorised Representative should be one of the Partners. In case of a Society, the Authorised Representative should be one of the its Executive Committee Members or Office Bearers. In case of a Company, the Authorised Representative should be a Director or a Senior Executive of the company.

The Authorised Representative is eligible to exercise all the rights and privileges of the membership, including voting in any election, and being elected to the Governing Council and to any Office of the Chamber. He is eligible to participate in the General Meetings of the Members, and speak and vote in these meetings. He is eligible to propose and second any candidate for election to the Governing Council. The Governing Council may require a Member to Change his Authorised Representative, and may deny such member his membership rights till that requirement is complied with.

1. Income and Expenditure Statement (ITR) and your Assets and Liabilities Statement for the last three financial years.

a) Company GST Certificate
b) Company PAN Card
c) Company Owner’s AADHAAR Card
d) MSME ‘UDYAM’ Certificate
e) Memorandum & Article of Association
   (Compulsory for Private / Public Ltd. Co.)
f) Import Export Code (IEC) Certificate
g) Copy of Land Tax Receipt
h) Copy of Agri. Income Tax Order

3. Two passport size HD colour photographs of the Authorised Representatives.

4. List of Directors / Partners etc.
